PLEASE READ THESE TERMS OF USE CAREFULLY. THEY CONTAIN A BINDING ARBITRATION AGREEMENT AND A CLASS ACTION WAIVER THAT MAY AFFECT YOUR LEGAL RIGHTS.

These Terms of Use ("Terms") are a legal agreement between you ("you", "your") and Binaxity Inc. ("Binaxity", "we", "us", or "our"). They govern your use of the Binaxity website, mobile application, and any associated services (collectively, the "Platform").

By using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, do not access or use our services.

1. Eligibility

You must be at least 18 years old and legally capable of forming a binding contract. By using the Platform, you represent that you meet these criteria.

2. Our Services

Binaxity provides access to credit and investment-enabling tools that are designed to help users build long-term financial assets. These services may include financial account access, credit product onboarding, and automated investing mechanisms delivered via our proprietary interface.

Your use of any financial services is subject to eligibility criteria and approval, and may require entering into additional agreements, which will govern those relationships and supersede these Terms in case of a conflict.

3. Registration and Account Security

To use certain services, you may be required to register and provide personal and financial information. You agree to:

  • Provide accurate and current information.

  • Maintain the confidentiality of your login credentials.

  • Notify us of any unauthorized account activity.

We reserve the right to suspend or terminate access if we believe your account is compromised or being used inappropriately.

4. Modifications to the Platform

We may update, change, or discontinue any aspect of the Platform at our discretion, with or without notice. We are not liable for any loss or inconvenience caused by such actions.

5. Privacy and Data Use

Our use of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference. We implement safeguards to protect your information, but cannot guarantee absolute security.

6. Intellectual Property

All content on the Platform, including but not limited to text, graphics, logos, and software, is owned or licensed by Binaxity and is protected under applicable intellectual property laws. You may use the Platform solely for personal, non-commercial purposes. Unauthorized use is strictly prohibited.

7. Prohibited Conduct

You may not use the Platform to:

  • Violate laws or regulations.

  • Infringe on intellectual property rights.

  • Transmit viruses or malicious code.

  • Gain unauthorized access to other accounts or systems.

  • Interfere with the normal operation of the Platform.

We reserve the right to investigate and take action, including termination of access.

8. Promotions and Referrals

We may run promotions or referral programs at our discretion. These are subject to separate terms and may be modified or revoked at any time.

9. Disclaimers

The Platform is provided "as is" and "as available." We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted access, or that the Platform is error-free or secure.

10. Limitation of Liability

To the fullest extent permitted by law, Binaxity is not liable for indirect, incidental, consequential, or punitive damages, including loss of profits or data, even if we were advised of the possibility of such damages.

11. Indemnification

You agree to defend, indemnify, and hold harmless Binaxity, its affiliates, officers, and employees from any claims or liabilities arising from your use of the Platform or breach of these Terms.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles.

Any dispute shall be resolved through binding arbitration administered by an arbitrator in Toronto, Ontario, in accordance with the applicable arbitration rules. You agree to waive your right to a trial by jury or to participate in a class action.

13. Termination

We may terminate or suspend your access to the Platform for any reason, without notice or liability. Provisions that by their nature should survive termination will remain in effect.

14. Updates to These Terms

We reserve the right to modify these Terms at any time. Changes will be effective once posted. Your continued use of the Platform constitutes acceptance of the updated Terms.
